What is VAT registration in Poland?
VAT registration in Poland is the procedure through which a business or other taxpayer is entered into the register of VAT taxpayers and obtains the status of an active VAT taxpayer or, where applicable, a VAT-exempt taxpayer. Registration is generally completed by filing a VAT-R form with the competent head of the tax office before performing taxable activities that require registration.
Value added tax is an indirect tax charged on the supply of goods and services, intra-Community transactions and certain imports. In Poland, the principal rules are set out in the Act of 11 March 2004 on tax on goods and services. VAT registration determines, among other matters, whether a taxpayer must charge VAT, submit JPK_VAT files containing VAT returns and records, issue VAT invoices, keep statutory records and may deduct input VAT.
Registration may concern Polish entrepreneurs, foreign companies operating in Poland, sole proprietors, partnerships, companies incorporated under Polish law and entities conducting selected non-commercial activities. The correct registration status depends on the nature of the planned transactions, the taxpayer’s place of establishment and the applicable VAT rules.
What does VAT registration in Poland involve?
The standard registration process involves submitting the VAT-R application before the first taxable transaction requiring registration. The application identifies the taxpayer, indicates the date from which VAT obligations arise and specifies relevant registrations, such as registration for intra-Community transactions. The tax authority may verify the information provided, particularly where the application concerns a newly established entity, a foreign business or activities regarded as sensitive from a tax compliance perspective.
Some taxpayers may benefit from the subjective VAT exemption. Under Article 113 of the Polish VAT Act, the exemption is generally available where the value of sales did not exceed PLN 240,000 in the preceding tax year. The threshold is proportionally reduced for taxpayers commencing business activity during the year. However, the exemption does not apply to every type of activity or supply. Certain transactions and categories of goods or services require VAT registration regardless of turnover.
A foreign entrepreneur may be required to register for Polish VAT even if it has no Polish subsidiary or branch office. This may occur, for example, when it makes local supplies of goods, stores goods in Poland, carries out certain e-commerce transactions, imports goods in its own name or performs transactions for which Polish VAT is due. The result may differ where the reverse-charge mechanism applies or where the One Stop Shop procedure is available. Each situation should therefore be assessed against the specific transaction flow.
When is VAT registration in Poland necessary?
VAT registration should be considered before starting sales in Poland, entering into supply contracts, importing goods, opening a warehouse, launching an online store or commencing cross-border trade within the European Union. It is also relevant when a business intends to recover input VAT incurred on purchases connected with taxable activity.
Polish entrepreneurs often need advice on whether they should register as active VAT taxpayers or use an available exemption. Foreign entities may need to establish whether their activities create a Polish VAT obligation, whether they have a fixed establishment for VAT purposes, and whether local registration is required in addition to registration in their country of establishment.
VAT registration may also be necessary for businesses making intra-Community supplies of goods, intra-Community acquisitions or certain cross-border B2B services. In these cases, a taxpayer may need an EU VAT number, usually formed by adding the “PL” prefix to its Polish NIP number. The conditions and reporting obligations depend on the transaction type and applicable EU and Polish VAT rules.
A prompt consultation with a lawyer or tax adviser can help prevent registration delays, incorrect invoicing, missed reporting obligations, denial of input VAT deductions, interest on tax arrears and financial penalties. It can also help structure commercial arrangements so that VAT responsibilities are allocated correctly between the parties.
